Mandatory Disclosers under Section 4 of the Right To Information Act, 2005

1. Background

Ministry of Railways, with the approval of Cabinet, has set up Joint Venture Companies with State Government who are willing to participate for development of Railway Infrastructure in their States.

Haryana Rail Infrastructure Development Corporation (HRIDC) was incorporated on 22nd August 2017 with equity participation by Government of Haryana following a Joint Venture Agreement with Ministry of Railway, in terms of the Agreement, Ministry of Railway contributed 49% equity after incorporation government of Haryana contributed 51% equity. The Company has a mandate of selecting railway projects for development, study, arranging finance and execution of Projects. For the purpose, the Company can create ‘Special Purpose Vehicles’ (Subsidiary companies for each identified project which has its own financial viability) in partnership with other Stake holders.

2. Organization Structure

The company is managed through a Board of Directors headed by the Chief Secretary of Haryana. Day to day functioning of the Company is to be managed by a Managing Director and two functional Directors. Ministry of Railways and Government of Haryana have to further nominate 3 part time directors each who are high level Government functionaries. Both the functional Directors are being assisted by GMs/Additional GMs/ Joint GMs/ DGMs for regular functioning of the HRIDC.

3. FUNCTIONS OF HRIDC

  1. To build, construct, operate, develop, finance and maintain viable railway projects, and/ or projects with viability gap funding in the territory of India, which will be used for both freight and passenger services and to develop required rail infrastructure including construction of railway lines together with all related rail facilities.
  2. To make or cause to be made studies, surveys, detailed projects report and tests to determine the desirability, viability and feasibility of establishing railway projects in the territory of India and to process for sanctioning viable railway projects.
  3. To construct, operate and maintain railway infrastructure, accommodation and conveyance along with other related facilities connected with the opening, operation and closing of railway and providing traffic facilities thereto.
  4. To carry on all business relating to railways and related business activities, and to enter into contracts in India or abroad, on a turnkey basis or otherwise, either individually or jointly with other undertakings, companies, firms, private or public agencies, associations and persons abroad or in India, including supply, erection and commissioning of equipment and all services ancillary thereto including but not limited to construction of new railway lines, upgradation of the existing railway lines and related infrastructure, construction of bridges, roads, tunnels, ventilation and lighting of tunnels, earth work.
  5. To incorporate, register, fund and establish subsidiaries and/or special purpose vehicles for the purpose of carrying on all or any of the foregoing objects of the Company.

4. The procedure followed in the decision-making process, including channels of supervision and accountability

The feasibility studies are the first analysis to be carried out once the implementation of a construction of Railway Project is planned in State of Haryana. The study will determine if the construction is feasible and will establish the technical and financial basis for the rest of the design and execution process of the works. The method of selecting the appropriate option is being considered on the basis of economy efficiency, effectiveness and probable cost of the project.Feasibility studies are the most important part of the design and construction of Railway lines which decides its safety, economy and efficiency. The feasibility studywill establish the technical and financial basis for the rest of the design and execution process of the works, so HRIDC pay full attention and time in order to carry out the feasibility studies with utmost care.

In reference of above there are following stages for decision making process in HRIDC

  • Stage 1- Timely completion of Feasibility Studies
  • Stage 2- Approval of Detailed Project Report (DPR) by Board of Directors of HRIDC
  • Stage 3- Clearance of Projects by Haryana Government through its Cabinet.
  • Stage4- Approval of Projects Northern Railway through GM Northern Railway
  • Stage 5- Acceptance of Projects by Central Railway Board
  • Stage 6- Approval of Cabinet Committee on Economic Affairs is required for the projects having value of more than Rs. 1000 Crore

  • To approve financial statements of the Company and the Board’s Report;
  • To make calls on shareholders in respect of money unpaid on their shares;
  • To diversify the business activities;
  • To invest the funds of the Company;
  • To borrow monies;
  • To authorize buy-back of securities;
  • To issue securities, including debentures;
  • To grant loans or give guarantee or provide security in respect of loans;
  • To approve amalgamation, merger or reconstruction;
  • To take over a company or acquire a controlling or substantial stake in another company;

The above matters can also be delegated by the Board of Directors of the Company to a committee of Directors, the Managing Director, or Officer of the Company by passing a resolution

  • Finance, Accounting & audit
  • Sanction and Implementation of Projects: Traffic, Electrical & S&T matters.
  • Coordination and liaison with strategic Investors, Financial Institutions, Banks and other Stakeholders for achieving financial closure for the specific projects.
  • Development of Business Plans, SOP and procedures for accounting and record keeping of company etc.
  • Undertaking Traffic Surveys.
  • Statutory compliance related to Companies Act and MCA
  • Coordination with State Govts & other Statutory Authorities
  • HR & General Administration
  • IT related matters
  • Public Relations
  • Any other work assigned by MD

B. Director (Project & Planning)

  • Undertaking Engineering Surveys, Preparation of DPR, Feasibility Studies and Sanctioning of Projects

8. Deputation Policy

The Govt. /Railway/PSU employees joining HRIDC on deputation shall be entitled for Basic Pay in the Parent Cadre + deputation duty allowance in term of the extant instruction issued by DOP&T and other perks as admissible in other PSUs of equivalent level. Grant of designations to such deputations in HRIDC be determined based on the following criteria:-
